What is an assignment of rents?

An assignment of rents is the provision or separate instrument by which a borrower assigns the property’s rents and leases to the lender as additional security for the loan. Most commercial assignments are drafted as absolute assignments with a license back to the borrower to collect rents until default; on default, the lender revokes the license and collects rents directly or through a receiver.

Why it matters

On income-producing property, the rents are often worth more to a lender during enforcement than the remedy of foreclosure itself, because they stop the cash from leaving the property while the process runs. How and when the lender can actually reach the rents — notice, possession, receiver — varies by state, and a number of states have adopted the Uniform Assignment of Rents Act. The assignment transfers with the loan.

Market context & sources

Why credits like this reach a workout desk: bank noncurrent commercial real-estate loans have risen while reserve coverage slips at community banks (FDIC Quarterly Banking Profile), and roughly $957 billion of commercial and multifamily mortgage debt was scheduled to mature in 2025 — against a total market of about $4.8–5.0 trillion, ~38% of it held by banks and thrifts (Mortgage Bankers Association). See the CRE distress statistics hub for the full figures and sources.

Common questions
Is an assignment of rents absolute or collateral?

It depends on the drafting and state law. Commercial documents usually say absolute, but some courts treat them as security interests that the lender must take affirmative steps to enforce.

Does the lender need a receiver to collect rents?

Not always; some states allow direct notice to tenants. A receiver is the common route when the property also needs management.

Does the assignment pass to a note buyer?

Yes, as part of the loan documents, along with the lender’s rights to enforce it. Request a confidential review.
