What is a reservation of rights letter?

A reservation of rights letter is a written notice from a lender to a borrower stating that, although the lender may be accepting payments, extending deadlines, or continuing to discuss the loan, it is not waiving any existing default or any right or remedy under the loan documents. It is sent to prevent the lender’s conduct from being construed as a waiver or a course of dealing that modifies the loan.

Why it matters

Courts can find that a lender waived a default by repeatedly accepting late or partial payments without objection. A reservation of rights letter, often paired with the anti-waiver clause in the loan documents, keeps the record clean so the lender — or whoever later holds the note — can enforce on the original terms. See pre-negotiation agreements.

Market context & sources

Why credits like this reach a workout desk: bank noncurrent commercial real-estate loans have risen while reserve coverage slips at community banks (FDIC Quarterly Banking Profile), and roughly $957 billion of commercial and multifamily mortgage debt was scheduled to mature in 2025 — against a total market of about $4.8–5.0 trillion, ~38% of it held by banks and thrifts (Mortgage Bankers Association). See the CRE distress statistics hub for the full figures and sources.

Common questions
Isn’t the anti-waiver clause in the loan documents enough?

Often it helps, but courts have held that a consistent pattern of conduct can override a written anti-waiver clause. An express reservation letter removes the ambiguity.

When is a reservation of rights letter sent?

Typically on the first default, whenever the lender accepts a nonconforming payment, and when workout discussions begin.

Does a note buyer care about these letters?

Yes. They are part of the file that shows the default and the lender’s remedies were preserved. Request a confidential review.
