What is a priming lien?

A priming lien is any claim against real property that takes priority over an earlier-recorded mortgage, defeating the ordinary first in time, first in right rule. The recurring examples in commercial real estate are unpaid real-estate taxes, municipal and special assessments including C-PACE, certain mechanics’ liens that relate back to the start of work, and in a bankruptcy, court-approved debtor-in-possession financing granted a priming lien over an objecting secured creditor.

Why it matters

Priming claims are the most common reason a mortgage is worth materially less than its balance and its collateral would imply, and they are frequently absent from a lender’s own loan summary because they were recorded after origination. Any credible bid on a note begins with a current title and recorded-instrument review, not the loan file. See how buyers price a CRE loan.

Market context & sources

Why credits like this reach a workout desk: bank noncurrent commercial real-estate loans have risen while reserve coverage slips at community banks (FDIC Quarterly Banking Profile), and roughly $957 billion of commercial and multifamily mortgage debt was scheduled to mature in 2025 — against a total market of about $4.8–5.0 trillion, ~38% of it held by banks and thrifts (Mortgage Bankers Association). See the CRE distress statistics hub for the full figures and sources.

Common questions
Do real-estate taxes really outrank my mortgage?

Yes. Unpaid property taxes and most municipal assessments hold statutory priority over private liens in every state, regardless of recording order. Chronic small municipal delinquencies are also one of the earliest observable signs of operating stress.

Can a mechanics’ lien prime a construction loan?

In many states a mechanics’ lien relates back to the commencement of work or the first delivery of materials rather than its filing date — so a lien filed after a loan closed can still take priority over it. The rule is state-specific and is a threshold diligence question on any construction credit.

How should a priming lien change my resolution decision?

It sets a floor on what any buyer can pay and on what a foreclosure will net you, because the senior claim is satisfied first either way. Where the priming balance is large relative to value, the mortgage’s recovery can approach zero. Standing Bid Capital verifies the stack from primary records before pricing.
