What is a loan participation?

A loan participation is an arrangement in which the lead lender originates and services a loan and sells undivided fractional interests in it to other institutions, the participants. The borrower typically deals only with the lead; the participants’ rights — voting, consent to modifications, remedies, and transfer — are set by the participation agreement. For federally insured credit unions, purchases of participations are governed by NCUA rule 12 CFR 701.22.

Why it matters

Participations let community banks and credit unions hold larger or out-of-footprint credits, but they complicate any resolution: a workout, foreclosure, or sale usually requires the lead and some or all participants to agree. A participant can often sell its own interest independently, subject to the agreement’s transfer and consent provisions. See selling a loan participation.

Market context & sources

Why credits like this reach a workout desk: bank noncurrent commercial real-estate loans have risen while reserve coverage slips at community banks (FDIC Quarterly Banking Profile), and roughly $957 billion of commercial and multifamily mortgage debt was scheduled to mature in 2025 — against a total market of about $4.8–5.0 trillion, ~38% of it held by banks and thrifts (Mortgage Bankers Association). See the CRE distress statistics hub for the full figures and sources.

Common questions
Who controls the loan in a participation?

The lead lender administers the loan, but major decisions — releasing collateral, forgiving principal, extending maturity — commonly require participant consent at a defined threshold.

Is a participation the same as a syndication?

No. In a syndication each lender has a direct contractual relationship with the borrower; in a participation only the lead does, and participants hold interests in the lead’s loan.

Can a participant sell its share of a credit?

Usually, subject to the participation agreement’s transfer provisions. Request a confidential review.
